Terms for using Spwnd and associated apps
Last updated March 13, 2026. These Terms of Service govern your access to and use of the Spwnd website at spwnd.dev, related product pages, support channels, and associated apps that link to these terms, including apps that offer authentication through Google or other supported sign-in methods. By accessing or using those services, you agree to these terms.
1. Eligibility and acceptance
You must be at least 18 years old and able to form a binding agreement to use Spwnd-operated services. If you use a service on behalf of an organization or another person, you represent that you have authority to bind them to these terms.
2. Accounts and access
Some parts of Spwnd services may be browsed without an account, while associated apps may require sign-in. You must provide accurate information, keep your credentials confidential, and promptly update your account information if it changes. You are responsible for activity occurring under your account. We may require sign-in through supported authentication methods, including Google, email, passwords, or one-time verification codes. We may suspend or restrict access if we suspect abuse, unauthorized access, or violations of these terms.
3. Spwnd services
Spwnd operates a website, product pages, support channels, and associated software products. Specific features vary by product and may include authentication, file or image upload, collaboration tools, shared records, notifications, subscriptions, and experimental functionality. Unless a service explicitly states otherwise, Spwnd does not itself move money, hold customer funds, act as a bank, or provide money-transmission services.
4. User content and permissions
You retain ownership of the content and information you submit through Spwnd services, including messages, uploaded files or images, records, notes, and related materials. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, transmit, display, and process that content solely as needed to operate, secure, improve, and support the relevant service. You represent that you have the rights and permissions needed to submit that content and any personal information about other people that you provide.
5. Acceptable use
- Do not use Spwnd services for unlawful, fraudulent, infringing, abusive, or privacy-violating activity.
- Do not upload malicious code, attempt to disrupt a service, scrape data, reverse engineer protected components, or bypass rate limits, paywalls, or security controls.
- Do not impersonate others or submit data about other people without an appropriate basis to do so.
- Do not use a Spwnd service to build a competing service or to resell, sublicense, or commercially exploit it without written permission.
6. Product-specific behavior and accuracy
Associated apps may include automated, experimental, or AI-assisted features that are incomplete, unavailable, or inaccurate. You are responsible for reviewing and correcting outputs before relying on them. Unless a product explicitly states otherwise, Spwnd services are not accounting, bookkeeping, tax, legal, financial, medical, or other professional advice.
7. Premium features, billing, and refunds
Some features may require a paid subscription or purchase. Billing may be handled by app stores, payment processors, or supporting subscription providers. Pricing, billing cycles, auto-renewal, cancellation, and refund rights are governed by the applicable checkout flow, store rules, and mandatory law. Unless required otherwise, payments are non-refundable.
8. Privacy
Your use of Spwnd services is also subject to the Privacy Policy, which explains how personal information is collected, used, and shared.
9. Intellectual property
Spwnd services, including software, design, branding, and related materials, are owned by Spwnd or its licensors and protected by applicable intellectual-property laws. Subject to these terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the relevant service for its intended purpose.
10. Third-party services
Spwnd services rely on third-party services for infrastructure and functionality, including authentication, cloud storage, email delivery, subscriptions, push notifications, analytics, and AI processing. Authentication may involve providers such as Google. Your use of third-party services may also be subject to their own terms and privacy notices. We are not responsible for third-party services or outages caused by them.
11. Beta features, availability, and changes
Spwnd services may include experimental or beta features. Features may change, stop working, or be removed at any time. We may modify, suspend, or discontinue all or part of a service without liability. You should keep your own copies of anything important.
12. Termination
You may stop using Spwnd services at any time. We may suspend or terminate your access immediately if you violate these terms, create risk for us or other users, fail to pay amounts due, or if continued operation of a service becomes impractical. Sections that by their nature should survive termination will survive, including ownership, disclaimers, liability limits, indemnity, and dispute terms.
13. Disclaimers
To the fullest extent permitted by law, Spwnd services are provided "as is" and "as available" without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and availability.
14. Limitation of liability
To the fullest extent permitted by law, Spwnd and its operators, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or use, arising out of or related to Spwnd services. Our aggregate liability for all claims relating to the relevant service will not exceed the greater of $100 USD or the amount you paid us for that service in the 12 months before the event giving rise to the claim.
15. Indemnification
You agree to defend, indemnify, and hold harmless Spwnd and its operators, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses arising out of your content, your misuse of a Spwnd service, your violation of these terms, or your violation of another person's rights.
16. Governing law and venue
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Any dispute arising out of or relating to these terms or a Spwnd service must be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to that venue and jurisdiction.
17. Changes to these terms
We may update these terms from time to time. The updated version will be posted here with a revised last-updated date. If you continue using a Spwnd service after the updated terms take effect, you agree to the revised terms.
18. Associated apps
Spwnd may operate multiple associated apps that link back to these terms. Product-specific features, data flows, and access models may differ by app. The current public app page is ChopChop.
